1. General
unexpired, represented by its owner Elias Kuschel (hereinafter referred to as “unexpired”), provides all consulting services based on these Terms of Use and the individual written offer from unexpired. unexpired will hereinafter also be referred to as the “Contractor,” and any recipients of services, customers, and other entities receiving services will be referred to as the “Client(s).”

2. Scope of Application
These Terms of Use apply to all consulting services offered by unexpired in the fields of process optimization, cost reduction, and consulting for insurance companies. This includes, but is not limited to, the analysis and optimization of existing business processes, the identification of cost-saving potentials, the development of customized solution approaches, and the consulting and support in the implementation of these solutions.

3. Rights and Restrictions of Use
3.1 The Client receives the non-exclusive, non-transferable right to use the consulting services provided by unexpired in accordance with the provisions of these Terms of Use.

3.2 The Client agrees to use the consulting services of unexpired solely for the agreed purpose and not to engage in any abusive actions.

4. Obligations of the Client
4.1 The Client ensures that all necessary information and documents required for the provision of consulting services are made available to unexpired in a timely manner.

4.2 The Client commits to complying with all applicable laws and regulations and to promptly inform unexpired of any changes that may affect the provision of consulting services.

5. Limitation of Liability
5.1 unexpired is only liable for damages caused by intentional or grossly negligent behavior. Liability for slight negligence is excluded, except in cases of breach of essential contractual obligations.

5.2 The liability of unexpired is in any case limited to the foreseeable damage typical for the contract.

6. Confidentiality
6.1 Both parties commit to keeping all confidential information received within the framework of the business relationship secret and to use it only for the agreed purpose.

6.2 This confidentiality obligation also applies after the termination of the contractual relationship.

7. Changes to the Terms of Use
unexpired reserves the right to change these Terms of Use at any time. Changes will be communicated to the Client in an appropriate manner and will be deemed accepted if the Client does not object to the changed Terms of Use in writing within 14 days.

8. Final Provisions
8.1 Should individual provisions of these Terms of Use be or become invalid, the validity of the remaining provisions shall remain unaffected.

8.2 The law of the Federal Republic of Germany applies. The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms of Use is the registered office of unexpired.
